1. ACCEPTANCE AND ELIGIBILITY

These Terms of Use (“Terms”) are entered into by and between you and the Noah’s Ark practice that provides veterinary services to your pet (“Your Practice,” “we,” “us,” “our”). Your Practice is identified to you at the start of each session.

Noah’s Ark Animal Clinics is a family of six or more independently organized veterinary practices, most listed in Section 2. Each practice is a separate legal entity, and each is responsible only for the veterinary services it provides.

These Terms govern your access to and use of our website at noahsarkanimalclinics.com, the Calendly web application, and the Zoom mobile application (collectively, the “Platform”), including all content, functionality, and services offered through it.

If your pet is a patient of more than one Noah’s Ark practice, these Terms apply separately to your relationship with each.

Read these Terms before using the Platform. By using it, you agree to be bound by these Terms, by our Privacy Policy at https://noahsarkanimalclinics.com/privacy-policy/, and by our Consent to Telehealth Services, each incorporated by reference. If you do not agree, do not use the Platform.

The Platform is available only to users who are 18 or older, reside in the United States, and are physically located in Ohio or Kentucky together with their pet at the time of a session. By using the Platform, you represent that you meet these requirements.

2. DEFINITIONS

  • “Your Practice,” “we,” “us,” “our” — the Noah’s Ark practice that provides veterinary services to your pet and with whom you are contracting under these Terms.
  • “Noah’s Ark Animal Clinics” — Noah’s Ark Animal Clinics is a family of the following individual veterinary practices, subject to the addition of new clinics in the future:
  • Colerain Animal Clinic, Inc. (Ohio)
  • Noah’s Ark Animal Clinic of Norwood, Inc. (Ohio)
  • Noah’s Ark Animal Clinic of Springdale, Inc. (Ohio)
  • West Chester Animal Clinic, LLC (Ohio)
  • Fort Wright Animal Clinic, Inc. (Kentucky)
  • Noah’s Ark Animal Clinic of Florence, Inc. (Kentucky)
  • “Client” or “you” — the person who owns or is lawfully responsible for the Patient and holds an account.
  • “Patient” — the animal about which you seek support.
  • “Veterinary Technician” — a registered veterinary technician (Ohio) or licensed veterinary technician (Kentucky) holding a current credential in the state where the Patient is located. A Veterinary Technician is not a veterinarian and is not licensed to practice veterinary medicine.
  • “Supervising Veterinarian” — the licensed veterinarian, credentialed in the Patient’s state, under whose supervision and responsibility a Veterinary Technician provides Services.
  • “Veterinary Professional” — a Veterinary Technician or a licensed veterinarian providing Services through the Platform. Not every practice listed above operates under the Noah’s Ark name. All six are included.
  • “Established Patient” — a Patient examined in person by a veterinarian at Your Practice within the previous twelve (12) months.
  • “Services” — the three offerings in Section 3, and nothing else.

3. SCOPE OF SERVICES

We offer three categories of Service. Two are open to any eligible user. The third is available only to our established patients.

3.1 Teletriage

A Veterinary Professional helps you assess how urgently your Patient needs to be seen in person. The output is a recommendation about urgency and where to go such as seek emergency care now, be seen within 24 hours, schedule a routine visit, or continue monitoring at home. Teletriage addresses how quickly your Patient needs hands-on care. It does not identify what is wrong.

3.2 Tele-Advice

A Veterinary Professional provides general health information, education, and guidance about a species, breed, or condition generally; husbandry and behavior; explanation of terminology or procedures; or help preparing questions for an appointment. It is not specific to your individual Patient’s health, illness, or injury

3.3 Follow-Up Check-Ins — Established Patients Only

Available only if your Patient has been examined in person by a veterinarian at Your Practice within the previous twelve (12) months. A Veterinary Professional can:

  • Review your Patient’s record and the plan your veterinarian set;
  • Help you understand discharge or aftercare instructions;
  • Collect and document your observations about recovery and relay them to your veterinarian;
  • Help you decide whether what you are seeing warrants an in-person recheck, an urgent visit, or emergency care;
  • Escalate to the Supervising Veterinarian, who can make clinical decisions for your Patient.

3.4 What We Do Not Provide

We do not, under any circumstances during telehealth encounters, in any state:

  • Diagnose any condition, illness, or injury;
  • Prescribe, dispense, recommend, or adjust any medication, including over-the-counter products and dosages;
  • Create, provide, or modify any treatment plan;
  • Provide a prognosis;
  • Recommend preventive care, protocols, or products for your individual Patient;
  • Issue health certificates, certificates of veterinary inspection, or travel documents;
  • Order or interpret diagnostic tests;
  • Provide services for livestock, including any animal raised for human consumption or whose products are used for human consumption;
  • Provide any service to or about a human.

3.5 Veterinarian-Client-Patient Relationship

Using the Platform never creates a veterinarian-client-patient relationship (“VCPR”). A VCPR is established only by an in-person examination at a Noah’s Ark practice. For Follow-Up Check-Ins, a VCPR already exists because your Patient was examined in person within the previous twelve months.

3.6 Consent to Telehealth

Before your first session you must review and acknowledge our Consent to Telehealth Services, a separate document. It describes the risks and limitations of remote assessment, confirms that the standards of care applicable to veterinary practice apply equally to telehealth and in-person visits, and records your consent. We retain that acknowledgment for not less than three years.

You may withdraw your consent to telehealth at any time without affecting your ability to obtain care from us in person.

4. NOT A SUBSTITUTE FOR VETERINARY CARE

The Services are informational and navigational. They do not replace physical examination, diagnostic testing, or treatment. You remain solely responsible for obtaining in-person veterinary care for your Patient.

5. EMERGENCIES

The Platform is not an emergency service and is not continuously monitored.

If your Patient shows signs of an emergency such as difficulty breathing, collapse, seizure, uncontrolled bleeding, suspected poisoning, a distended or bloated abdomen, straining or inability to urinate, trauma, or heatstroke, transport your Patient to the nearest emergency veterinary hospital immediately.

6. APPOINTMENT BOOKING AND REFERRALS

Referrals. A Veterinary Professional may recommend in-person or emergency care and may identify clinics. A referral is a recommendation, not a reservation, and not a guarantee that a clinic is open, available, accepting patients, or able to treat your Patient. Confirm directly with the clinic.

Booking assistance. We may help you request or schedule an appointment with one of our individual clinics.

7. THIS IS NOT INSURANCE

The Platform is not insurance and is not a substitute for pet health insurance.

We are not an insurer, insurance producer, health plan, discount medical plan organization, or pet wellness plan. We do not indemnify or reimburse you, and do not pay for or contribute to the cost of any veterinary care, medication, procedure, or emergency treatment.

Any fee or subscription entitles you only to access the informational Services in Section 3. It confers no coverage, no benefit, no discount, and no right to payment.

8. YOUR RESPONSIBILITIES

You agree to:

  • Provide complete, accurate, current information about yourself and your Patient, including history, current medications, and what your veterinarian has told you;
  • Confirm your Patient’s physical location at each session;
  • Follow any recommendation to seek in-person or emergency care, promptly;
  • Contact a veterinarian for anything involving diagnosis, medication, or treatment;
  • Understand that a Veterinary Technician will decline to diagnose, prescribe, or provide a treatment plan, and not press them to;
  • Not rely on the Services in place of in-person care;
  • Verify and confirm information you receive through the Platform, including anything produced by automated tools.

The quality of remote guidance depends entirely on the accuracy and completeness of what you tell us. You accept the risk arising from information you fail to provide or provide inaccurately.

9. WHO PROVIDES THE SERVICES

9.1 You May Be Speaking With a Veterinary Technician

Sessions are conducted by credentialed Veterinary Technicians, not by veterinarians.

A Veterinary Technician is a trained, board-credentialed animal health professional. A Veterinary Technician is not a veterinarian, is not licensed to practice veterinary medicine, and cannot diagnose your Patient, prescribe or recommend medication, or provide a treatment plan.

We identify the name and credential of the person you are speaking with at the start of every session. For Patients located in Kentucky, we also provide that person’s Kentucky credential number.

9.2 Veterinarian Supervision

Every Veterinary Technician providing Services does so under the indirect supervision and responsibility of a Supervising Veterinarian licensed in the state where your Patient is located.

Where a session raises a question requiring clinical judgment about your individual Patient you may be advised to schedule an appointment and or proceed to an emergency provider.

9.3 Credentialing by Patient Location

The practice of veterinary medicine occurs where the Patient is located, not where the Veterinary Professional is. Every Veterinary Professional serving your session holds a current credential in your Patient’s state.

10. ACCOUNTS AND SECURITY

Registration requires accurate, current, and complete information. You are responsible for arranging your own access to the Platform and for ensuring anyone using your connection complies with these Terms.

Treat your username, password, and any other credentials as confidential. Your account is personal to you; do not give anyone else access. Notify us immediately of any unauthorized use or security breach, and log out at the end of each session — particularly on shared or public devices.

We may disable any credential at any time, including where we believe these Terms have been violated.

11. PROHIBITED USES

You may use the Platform only for lawful purposes. You agree not to:

  • Violate any applicable law or regulation;
  • Misrepresent your identity, your Patient, or your location;
  • Impersonate Noah’s Ark, our staff, or any other person;
  • Seek diagnosis, medication, prescriptions, or treatment plans through the Platform;
  • Use the Platform for any human;
  • Harass, abuse, or threaten our staff;
  • Send unsolicited advertising, spam, or similar solicitations;
  • Use robots, spiders, scrapers, or any automated means to access or copy the Platform;
  • Reverse engineer, decompile, or copy the Platform;
  • Introduce viruses, worms, or other malicious code;
  • Attempt to gain unauthorized access to the Platform or any connected server or database;
  • Launch any denial-of-service attack;
  • Overburden, disable, damage, or interfere with the Platform’s operation or anyone else’s use of it.

12. AUTOMATED TOOLS AND AI

We may use automated tools, including artificial intelligence and audio-capture or scribing software, to support documentation, scheduling, and administrative functions.

13. SESSION RECORDING

Sessions are recorded. By starting a session you consent to audio and video recording of it.

Recordings are made for documentation, quality assurance, training, and supervision. They are retained as our internal records and are accessible to our veterinarians and staff for those purposes.

Recordings are not part of your Patient’s medical record and are not provided to clients. The record of your visit is the written or electronic visit note, which is available to you as described in Section 15.

14. THIRD-PARTY TECHNOLOGY VENDORS

We use third-party services to operate the Platform, including video and audio conferencing.

Session quality depends in part on these vendors and on your own internet connection. We are not responsible for dropped, delayed, or degraded sessions caused by a vendor outage, network conditions, or your equipment. If a session is interrupted, we will attempt to reconnect using the alternate contact method you provided.

Information you share during a session passes through vendor systems. We select vendors that maintain commercially reasonable security practices and are bound by written agreements restricting their use of your information.

15. PRIVACY

All information we collect is subject to our Privacy Policy at https://noahsarkanimalclinics.com/privacy-policy/, and the privacy policies of our third party vendors, including but not limited to Calendly at https://calendly.com/legal/privacy-notice and Google Meet at https://policies.google.com/privacy By using the Platform you consent to our handling of information consistent with those policies. Beyond what is needed to create and maintain an account and provide the Services, you are not required to submit personal identifiers.

Veterinary records are generally not protected health information under HIPAA.

16. FEES AND REFUNDS

Fees. Disclosed before you confirm a session, stated in U.S. dollars, exclusive of applicable taxes.

Refunds. We refund a session fee where the session cannot be completed for technical reasons on our side, or where no Veterinary Professional connects with you.

A session that ends in a recommendation to seek in-person or emergency care is a completed service and is not refundable. Determining how urgently your Patient needs to be seen is the service you are paying for, and that determination has value whatever the answer turns out to be. Fees are likewise not refundable because a Veterinary Professional declined to diagnose, recommend medication, or provide a treatment plan — those are outside what we offer, as stated in Section 3.4.

17. INTELLECTUAL PROPERTY

The Platform and its entire contents, features, and functionality, including text, software, displays, images, video, audio, and their design, selection, and arrangement, are owned by Noah’s Ark or its licensors and protected by United States copyright, trademark, patent, trade secret, and other laws.

These Terms permit personal, non-commercial use only. You may temporarily cache pages in the ordinary course of browsing, print or download a reasonable number of pages for personal use, and download one copy of any mobile application for personal use. You may not otherwise reproduce, distribute, modify, create derivative works of, publicly display, republish, store, or transmit Platform material; separate images or media from accompanying text; remove any proprietary notice; or use any part of the Platform for commercial purposes.

If you breach this Section, your right to use the Platform ends immediately and you must return or destroy any copies you made. No title or interest in the Platform transfers to you; all rights not expressly granted are reserved.

18. TRADEMARKS

NOAH’S ARK ANIMAL CLINICS® is a registered trademark, U.S. Registration No. 4,405,941, registered with the United States Patent and Trademark Office.

The names and logos of the practices listed in Section 2 that operate under their own names, and all related product and service names, designs, and slogans, are trademarks of their respective owners and are protected by federal and state law.

You may not use any Noah’s Ark mark, or any mark confusingly similar to one, without prior written permission. Nothing on the Platform grants any license or right to use any mark. Other marks appearing on the Platform belong to their respective owners.

19. YOUR CONTENT

You retain ownership of photographs, video, and other materials you submit (“User Content”). You grant us a worldwide, royalty-free, non-exclusive license to use, store, reproduce, and display it solely to provide the Services and as permitted by our Privacy Policy. You represent that you have the right to submit it.

20. RELIANCE ON PLATFORM CONTENT

General information published on the Platform is provided for informational purposes only. We do not warrant its accuracy, completeness, or usefulness, and any reliance on it is at your own risk.

The Platform may include content from third parties. Statements and opinions in that material belong to whoever provided it.

We may update Platform content from time to time, but material may be out of date at any given moment and we have no obligation to update it.

21. THIRD-PARTY LINKS

Links to third-party sites and resources are provided for convenience only. We do not control them and accept no responsibility for their content or for any loss arising from your use of them. If you follow a link off the Platform, these Terms no longer apply and the third party’s terms govern.

22. GEOGRAPHIC RESTRICTIONS

The Noah’s Ark practices are located in Ohio and Kentucky. The Platform is intended for use only by persons located in the United States, and Services are offered only where the Client and Patient are located in Ohio or Kentucky. If you access the Platform from elsewhere, you do so on your own initiative and are responsible for compliance with local law.

23. CHANGES TO AND AVAILABILITY OF THE PLATFORM

We may change, suspend, withdraw, or discontinue the Platform, or any part or feature of it, at any time and in our sole discretion, with or without notice. We may also restrict access to some or all of the Platform, including to registered users.

We do not guarantee that the Platform will be available at any particular time or without interruption. We are not liable if the Platform, or any part of it, is unavailable for any period or for any reason. Scheduled maintenance, technical failures, vendor outages, and network conditions may all interrupt access.

Discontinuing the Platform does not affect your ability to obtain care from us in person.

24. MONITORING, ENFORCEMENT, AND TERMINATION

We may terminate or suspend your access to all or part of the Platform for any violation of these Terms, and may take appropriate legal action, including referral to law enforcement, for unlawful or unauthorized use. You may close your account at any time.

Sections 3.4, 3.5, 4, 7, 17, 18, 19, 25, 26, 27, 28, 29, 30, and 31 survive termination.

25. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE ACCURATE, RELIABLE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT IT WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT IT WILL MEET YOUR NEEDS. YOU ARE RESPONSIBLE FOR YOUR OWN ANTI-VIRUS PROTECTION AND DATA BACKUP.

WE DO NOT GUARANTEE ANY HEALTH OUTCOME FOR YOUR PATIENT. No triage recommendation, advice, or check-in can assure that a condition will be identified or that your Patient will recover. Outcomes depend on your Patient’s underlying condition, on care provided by third parties, and on decisions outside our control.

THE FOREGOING DOES NOT AFFECT ANY WARRANTY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

26. EACH PRACTICE IS SEPARATELY RESPONSIBLE

The Noah’s Ark practices are separate legal entities. Each is responsible only for the veterinary services it provides and for its own acts and omissions.

No Noah’s Ark practice is liable for the acts or omissions of any other, and nothing in these Terms makes any practice a guarantor of, or jointly liable for, another’s services. Your agreement is with Your Practice. If you have a claim arising from care your pet received, it lies against the practice that provided that care.

The disclaimers, limitations, and indemnities in Sections 23, 25, and 26 are stated for the benefit of Your Practice and, severally and not jointly, of each other Noah’s Ark practice, Noah’s Ark Animal Clinics, Inc., and their respective officers, directors, employees, and agents.

27. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, YOUR PRACTICE, THE OTHER NOAH’S ARK PRACTICES, NOAH’S ARK ANIMAL CLINICS, INC., AND THEIR RESPECTIVE LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF REVENUE, PROFITS, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE PLATFORM OR THE SERVICES.

WE ARE NOT LIABLE FOR: THE ACTS OR OMISSIONS OF ANY THIRD-PARTY VETERINARIAN, CLINIC, HOSPITAL, OR PHARMACY; YOUR DECISION TO DELAY, DECLINE, OR FORGO IN-PERSON CARE; YOUR FAILURE TO FOLLOW A RECOMMENDATION TO SEEK CARE; RELIANCE ON AUTOMATED OR AI-GENERATED OUTPUT; OR ANY CONSEQUENCE OF INFORMATION YOU FAILED TO DISCLOSE.

THE TOTAL AGGREGATE LIABILITY OF YOUR PRACTICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID YOUR PRACTICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT APPLIES SEPARATELY TO EACH PRACTICE AND IS NOT AGGREGATED ACROSS PRACTICES.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

28. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Your Practice, the other Noah’s Ark practices, Noah’s Ark Animal Clinics, Inc., their licensors and service providers, and their respective officers, directors, employees, contractors, and agents, from any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms, your provision of inaccurate information, your use of the Platform, or your failure to follow a recommendation to seek in-person or emergency care.

29. DISPUTE RESOLUTION

Informal resolution. Before initiating any formal proceeding, contact us at vcadmin@noahsarkanimalclinics.net and attempt informal resolution for at least thirty (30) days.

Class action waiver. YOU MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

30. LIMITATION ON TIME TO FILE CLAIMS

ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN [ONE (1) YEAR] AFTER IT ACCRUES; OTHERWISE IT IS PERMANENTLY BARRED.

31. GOVERNING LAW AND JURISDICTION

These Terms are governed by the law of the state in which Your Practice is organized, without giving effect to conflict of law principles:

  • Ohio — Colerain Animal Clinic, Inc.; Noah’s Ark Animal Clinic of Norwood, Inc.; Noah’s Ark Animal Clinic of Springdale, Inc.; West Chester Animal Clinic, LLC.
  • Kentucky — Fort Wright Animal Clinic, Inc.; Noah’s Ark Animal Clinic of Florence, Inc.

Subject to Section 29, any action shall be instituted exclusively in the state or federal courts located in Hamilton County, Ohio for an Ohio practice, or Kenton County, Kentucky for a Kentucky practice, and you waive objections to jurisdiction and venue there.

Nothing here limits non-waivable rights you have under the consumer protection laws of your state of residence.

32. CHANGES TO THESE TERMS

We may revise these Terms. We will post the updated version with a revised date. Continued use after the effective date constitutes acceptance.

33. GENERAL

  • Entire Agreement. These Terms, the Privacy Policy, and the Consent to Telehealth Services are the entire agreement between you and Your Practice regarding the Platform, superseding all prior understandings.
  • Waiver. No waiver of any term is a continuing waiver or a waiver of any other term; failure to assert a right is not a waiver of it.
  • Severability. If any provision is held invalid or unenforceable, it shall be eliminated or limited to the minimum extent necessary and the remainder continues in full force.
  • Assignment. You may not assign these Terms; we may, in connection with a merger, acquisition, or asset sale.
  • Force Majeure. We are not liable for failures beyond our reasonable control.
  • Notices. We may send notices to the email address associated with your account.

SMS TERMS AND CONDITIONS

1. Consent

By providing your telephone number and confirming acceptance, you consent to receive recurring automated text messages from Noah’s Ark Animal Clinics and those texting on its behalf at the number provided. Consent is not a condition of purchase. Your separate consent is to the following:

  • Transactional Messages — appointment reminders, session confirmations, prescription and pickup notices, and communications relating to your Patient’s scheduled care.
  • Marketing Messages — promotions, offers, and general pet care content.

2. Frequency and Cost

Message frequency varies. Message and data rates may apply under your mobile plan; contact your carrier for details. We do not charge a separate fee for text messages.

3. Text Opting In and Out

Creating a Telehealth appointment enrolls you in text message communications.

To stop, reply STOP from the enrolled mobile number. You will receive a confirmation. Opting out of one category does not opt you out of the others and does not affect any other number you have enrolled. For assistance contact vcadmin@noahsarkanimalclinics.net.

4. Your Mobile Number

You represent that you are the account holder for the number provided. Notify us immediately at vcadmin@noahsarkanimalclinics.net if your number changes. You agree to indemnify us for claims, expenses, and damages arising from your failure to do so, including under the Telephone Consumer Protection Act and state telemarketing laws.

5. Delivery

Message delivery depends on factors outside our control and is not guaranteed. Carriers are not liable for delayed or undelivered messages.

6. Eligibility

You must be a United States resident and at least 18 years of age.

7. Emergencies

Text messaging is not monitored and must never be used to report an emergency.

8. Changes and Termination

We may modify these SMS terms at any time; if you do not agree, opt out. We may suspend or terminate messaging at any time, including for breach of these terms or if your mobile service lapses.

9. Privacy

Message handling is governed by our Privacy Policy at https://calendly.com/legal/privacy-notice.
